3. Payment Terms

Invoices are due within the specified timeframe, typically 7 days from the issue date, unless otherwise stated.
Late payments may incur a 5% late fee for every 14-day period overdue.
Services will not commence or may be paused if payment is not received in accordance with the agreement.
4. Intellectual Property
All materials created during the project, including ad creatives, content, and reports, remain the property of Adsenator until full payment is received.
Upon payment, ownership of deliverables will transfer to the client, except for any third-party assets governed by their respective licenses.
5. Confidentiality
Both parties agree to keep all shared proprietary or sensitive information confidential. This includes:
Business plans
Campaign strategies
Data analytics
Confidentiality obligations remain in effect for two years after the termination of the agreement.
6. Performance Disclaimer
While we strive to achieve optimal results, digital marketing outcomes are influenced by multiple factors, including:
Market trends
Algorithm updates
Consumer behavior
As such, we do not guarantee specific results, including sales, leads, or rankings.
7. Termination Policy
Either party may terminate the agreement with 30 days’ written notice.Termination conditions include:
Mutual agreement
Breach of these Terms
Non-payment of dues
Upon termination, all outstanding invoices must be settled, and Adsenator will deliver all completed work up to the termination date.

9. Third-Party Services
Our services may involve third-party platforms (e.g., Google Ads, Facebook). You agree to abide by the terms and conditions of those platforms. Adsenator is not liable for disruptions or changes caused by third-party policies or outages.
10. Liability Limitation

Adsenator is not liable for indirect, incidental, or consequential damages.
Our liability is limited to the total amount paid for the services in question.
11. Governing Law
These Terms are governed by the laws of the United States and applicable local laws. Any disputes will be resolved in the appropriate courts within the United States.
